1. AGREEMENT AND ACCEPTANCE
1.1 This Self-Serve Starter Licence ("Licence") is a binding agreement between AlgoVoi ("Licensor",
"we") and the individual or entity that purchases a Starter licence ("Licensee", "you").
1.2 You accept this Licence by ticking "I agree to the Licence Terms" at checkout and completing
payment. If you do not agree, do not purchase. The version you accept is recorded against your order.

2. DEFINITIONS
- "Software" — the AlgoVoi suite package(s) you purchase (each a "Package", e.g. algovoi-agent-passport),
delivered as a Python wheel from our private index, together with its documentation.
- "Licence Key" — the signed key issued to you on payment that identifies your Licence.
- "Index Token" — the secret credential that authorises pip install of your purchased Package from our
private index.
- "Deployment" — one installation of a Package into one runtime environment (e.g. one staging and one
production environment).
- "Term" — the licence term you select at checkout for a Package: "perpetual" (one-time) or "annual".
- "Annual Licence" — a fixed one-year term: the Licence Key expires twelve (12) months from issue, after
which the Software ceases to be licensed. It is a minimum one-year commitment, renews only by a fresh
purchase, and is non-cancellable.

3. LICENCE GRANT
3.1 Subject to your payment and ongoing compliance with this Licence, we grant you, for the Term you
select at checkout, a worldwide, non-exclusive, non-transferable, non-sublicensable licence to:
(a) install and run the purchased Package for your own internal business purposes; and
(b) integrate it into your own systems and applications operated by you.
3.2 "Perpetual" means the licence to the version(s) made available to you does not expire, subject to
clause 9 (termination for breach). It is a one-time purchase, not a subscription. "Annual" means a fixed
one-year term: the Licence Key expires twelve (12) months from issue and the Software then ceases to be
licensed; it is a minimum one-year commitment, renewable only by a fresh purchase.

4. DEPLOYMENT LIMIT — 2 INSTALLS PER LICENCE KEY
4.1 Each Licence Key entitles you to a maximum of two (2) Deployments — intended as one staging and one
production environment. The private index meters wheel downloads against this limit; once reached,
further downloads are refused.
4.2 The Licence Key and Index Token are confidential to you. You must not share, publish, resell, or
distribute them, or use them to provision Deployments beyond your limit. Need more Deployments? Contact

5. RESTRICTIONS
You must not, and must not permit any third party to:
(a) resell, redistribute, sublicense, rent, lease, or make the Software available to any third party;
(b) publish the Software, Licence Key, or Index Token to any public package registry or repository;
(c) reverse-engineer, decompile, or disassemble the Software, except to the extent this restriction is
prohibited by applicable law;
(d) remove or alter any proprietary notices; or
(e) exceed the Deployment limit in clause 4.

6. DELIVERY, FEES, AND REFUNDS
6.1 The Software is delivered electronically on payment, via the Licence Key, Index Token, and install
command shown on screen and emailed to you.
6.2 The price shown at checkout is the fee for the Term you select: a one-time fee for a perpetual
licence, or a one-year fee for an annual licence (a minimum one-year commitment). It is payable in the
cryptocurrency presented and is exclusive of any taxes you may owe.
6.3 ALL SALES ARE FINAL. Because the Software is delivered immediately and paid by irreversible
cryptocurrency transfer, we do not offer refunds. We may revoke a Licence Key in cases of fraud,
chargeback, or breach of this Licence.

7. SUPPORT AND UPDATES (OPTIONAL)
7.1 The perpetual licence includes the Software as made available to you at purchase. It does not include
updates or support unless you purchase optional support.
7.2 Optional support is available at 5% of the licence fee per year and provides, while active: bug
fixes, patches, and updated versions we make generally available for your Package, plus email support.
Support is optional and may lapse without affecting your perpetual licence to the version(s) you already
hold.

8. INTELLECTUAL PROPERTY; WARRANTY; LIABILITY
8.1 Ownership. We and our licensors retain all intellectual-property rights in the Software. This Licence
grants rights of use only; no title passes to you.
8.2 Limited warranty. For thirty (30) days from purchase, the Software will perform materially in
accordance with its documentation. Your exclusive remedy for breach of this warranty is, at our option,
to provide a correction or to revoke the Licence and refund the fee paid for the affected Package.
8.3 Disclaimer. Except for clause 8.2, the Software is provided "AS IS" and we disclaim all other
warranties, express or implied, including merchantability, fitness for a particular purpose, and
non-infringement, to the fullest extent permitted by law.
8.4 Limitation of liability. To the fullest extent permitted by law, our total aggregate liability
arising out of or in connection with this Licence is limited to the fees you paid for the affected
Package, and we are not liable for any indirect, incidental, special, or consequential loss, or loss of
profits, revenue, data, or goodwill. Nothing in this Licence excludes liability that cannot be excluded
by law.

9. TERM AND TERMINATION
9.1 A perpetual Licence continues unless terminated; an annual Licence runs for its twelve-month term and
then expires. Either terminates automatically if you materially breach this Licence (including the
Deployment limit or the restrictions in clause 5) and do not cure the breach within 14 days of notice.
9.2 On termination, you must stop using the Software and destroy all copies. Clauses 5, 8, 9, and 10
survive termination.

10. GENERAL
10.1 No PII to us. Operating the Software does not require you to send personal data to us; the Software
runs in your environment.
10.2 Governing law. This Licence is governed by the laws of England and Wales, and the courts of England
and Wales have exclusive jurisdiction.
10.3 Entire agreement. This Licence is the entire agreement for your self-serve Starter purchase and
supersedes prior representations. If any provision is unenforceable, the rest remains in effect.
